Hirschen Singer & Epstein LLP (“HSE”) is a boutique real estate law firm based in New York City focused on sophisticated commercial transactions involving public/private partnerships and structured financing. We facilitate the success of large-scale affordable housing, mixed-income, market rate and community development projects through creative financial and deal structuring. Our experienced attorneys shape transactions involving real estate development and finance, tax credit syndication, tax exempt bond financing, condominium and cooperative development, nonprofit representation, taxation, and government affairs. We also represent clients in a variety of leasing and purchase and sale transactions.
Commercial Real Estate Attorney
HSE seeks an attorney with prior commercial real estate transactional experience to join our transactional real estate practice.
Responsibilities:
- Represent borrowers and developers (but will look at lender side) in all aspects of complex commercial and corporate real estate transactions;
- Draft and negotiate loan documents, corporate organizational documents, contracts of sale, operating and joint venture agreements, equity documents, loan documents, regulatory agreements, commercial condominium declarations, construction contracts, architect’s agreements and other documents related to commercial real estate development and finance;
- Handle and manage commercial real estate closings;
- Advise clients regarding project ownership structure, entity formation and income and property tax exemptions;
- Review and provide comments regarding title and survey documents and other due diligence items;
- Communicate with clients, lenders’ counsel, agencies counsel, title companies and other parties effectively and efficiently; and
- Work collaboratively and in an organized, detail-oriented manner.
Requirements:
- 3 – 5 years’ experience as a practicing commercial real estate attorney representing borrowers and developers (but will look at lender side) in all aspects of complex commercial and corporate real estate transactions;
- 3 – 5 years’ drafting and negotiating loan documents, corporate organizational documents, contracts of sale, operating and joint venture agreements, equity documents, loan documents, regulatory agreements, commercial condominium declarations, construction contracts, architect’s agreements and other documents related to commercial real estate development and finance;
- 3 – 5 years’ handling and managing real estate closings; and
- Admitted to NYS State Bar

Work Environment:
- HSE is open to structuring flexible working arrangements.
Compensation:
- Annual base salary $175k – $250k, dependent on candidate’s experience and qualifications.
- Eligible for annual discretionary bonus

Paralegal
Duties/Responsibilities:
- Real estate transactional paralegal to engage primarily on commercial, publicly financed real estate development and recapitalization projects, including the acquistion, construction and permanent financing, joint ventures, equity investments and sale/repositioning of existing multifamily and mixed-use housing primarily thoughout New York City. HSE is a dynamic firm of dedicated professionals who are deeply committed to working collaboratively with each other and their clients to help bring to fruition some of the most significant and place-making developments and repositioning projects that are currently taking place in New York.
- Meet with attorneys, clients, and other professionals to fully engage in project details.
- Prepare signature page packets, inventory signature pages, assemble final documentation for closing and maintain checklists.
- Monitor contract timeframes and deliverables
- Form corporate entities and prepare operating documentation, consents and certificates. Apply for employee identification numbers.
- Prepare applications for real estate and income tax exemptions
- Organizing, proofreading and reviewing documents.
- Keeps updated checklists and trackers for closing deliverables and signature pages
- Review, comment, and clear title reports; review title exceptions and survey matters; interface with title companies and surveyors
Requirements:
- At least 5+ years of experience as a transactional real estate paralegal specialized in commercial properties and financing
- Excellent organizational skills and a strong attention to detail.
- Flexible and able to multi-task, balancing priorities and tight deadlines.
- Must possess strong written and verbal communication skills.
- Superior analytical and reasoning abilities.
- Ability to work independently and as part of a team.
- Other tasks as required by the group/firm.
- Upon date of hire, willingness to obtain license as Notary Public.

- Familiarity with law office procedures, law office technology and legal terminology.
- Proficiency with Microsoft Office programs

Education and Experience:
- Associate degree in Paralegal Studies or related field required; bachelor’s degree in paralegal studies or

Compensation:
- Annual salary starting at $100,000
- Salary will be competitive and commensurate with experience, education, qualifications and skill of candidate.
